Terms of Service

These terms are the agreement between SDRD Solutions Pvt Ltd (“we”, “us”) and you, the business using VocoLogic (“you”). By opening an account you accept them. If you are accepting on behalf of a company, you confirm you are allowed to.
1. What the service is
VocoLogic answers telephone calls to numbers you point at it. It speaks to callers in a synthetic voice, answers questions from the information you provide, takes appointments, transfers calls to a number you choose, and gives you a transcript of what was said.
It is software. It is not a person, and it is not a substitute for one where a person is what the situation needs.
2. Your account
- VocoLogic is for business use. You must be 18 or older.
- Give us accurate details and keep them current — we use them to bill you and to reach you about your service.
- Your sign-in credentials are yours to protect. Anything done with them is treated as done by you. Tell us at once if you think someone else has them.
- You are responsible for anyone you invite into your account.
3. Credits, plans and payment
- You buy credits. Credits are spent by the minute while your agent is on a call. The voice you choose sets the rate; the more natural voice spends credits faster and therefore buys fewer minutes. The number of minutes is shown before you order.
- Credits have a validity period, shown on the plan when you buy it — normally 30 days for each month purchased. Unused credits expire at the end of that period and are not carried forward or refunded.
- When your credits reach zero your agent stops answering, and calls ring where they did before. A call already in progress is allowed to finish rather than being cut off mid-sentence, so a balance may end slightly below zero.
- Prices, plans and credit rates may change. A change never re-prices an order you have already placed: everything your order depends on is fixed at the moment you place it, and applies for its whole validity period.
- The price on an order is the one shown when you place it. If a price changes while you are ordering, we ask you to review the new price before the order is placed.
- An order that has not been paid within 7 days of being placed expires, and cannot then be paid. Place a new order at the prices current at that time.
- Credits pay for your agent’s time, not for the telephone line. Your telephone provider charges you separately for your number — usually a monthly rental — and for the calls on it, usually by the minute, along with any setup fee they have for a new number. They bill you for those directly, under your agreement with them. None of it is included in a plan or paid from your credits. See section 4.
- Currency, payment, tax and refunds depend on where your business is, which you tell us when you open your account. They are set out in the schedule for your country at the end of these terms.
4. Telephone numbers
- Your numbers are yours. The telephone numbers your agent answers are procured in your business’s name from a licensed telephone provider, and the agreement for each one is between you and that provider. We are not a party to it.
- You may point a number you already have at your agent, or procure a new one. We will help you do either — with the provider’s KYC documents, choosing a number and getting it live — but the number is registered to you, not to us.
- Your provider bills you directly for the number and for its calls, as set out in section 3. Those charges, and paying them, are yours.
- Numbers are subject to the provider’s own terms and to telecoms regulation. Where the provider needs documents from you, the number cannot go live until you have supplied them.
- Because the number is yours, it stays yours if you stop using VocoLogic. Point it somewhere else and it simply stops reaching your agent.
5. What you are responsible for
This is the section to read twice. You are putting an automated voice on the public telephone network in your own name, saying things you configured.
- What the agent says is yours. It answers from the business information you enter. If that is wrong, out of date or misleading, the answers will be too.
- Your callers’ data is yours. For the people who telephone you, you are the data controller and we process on your instructions. Telling them what you do with their information, and having a lawful basis for it, is your responsibility.
- Recording is your decision. It is off unless you switch it on. Where the law requires callers to be told, we provide the spoken notice — using it, and complying with the recording law that applies to you, is yours.
- Bookings the agent takes are bookings you have made. Honour them, or contact the customer. We are not a party to them.
- Telecoms and marketing law applies to you. That includes rules on unsolicited calls, do-not-disturb registers and calling hours in your country.
What you must not do
- Use the service for anything unlawful, fraudulent or deceptive, or to harass, threaten or defraud anyone.
- Impersonate another business or person, or configure the agent to deny being an automated system when a caller asks directly.
- Make bulk unsolicited calls where the law does not allow them.
- Use it as, or hold it out as, an emergency, medical, legal or financial advice line. It must never be the number someone calls in an emergency.
- Attempt to break, overload, reverse-engineer or gain unauthorised access to the platform, or to reach another customer’s data.
- Resell the service without our written agreement.
6. What the service can and cannot do
VocoLogic uses speech recognition and language models. These misunderstand things. An agent may mishear a name, misjudge what a caller meant, or answer a question imperfectly — and it will do so confidently, because that is how these systems behave.
Build for that. Check bookings before acting on anything expensive or irreversible. Set a transfer number so a caller who needs a person can reach one. Read the transcripts of your first calls rather than assuming.
We work continuously to reduce these errors. We do not warrant that the agent will be accurate, uninterrupted or fit for any particular purpose of yours.
7. Availability
We aim to keep the service running at all times, but we do not offer a guaranteed uptime at this stage and you should not rely on one. Planned maintenance is announced in advance where we can. Telephone carriers, network providers and the third parties listed in our Privacy Policy can fail in ways outside our control.
Calls we cannot answer ring where they did before. Your telephone does not stop working because ours has.
8. Suspension and closing an account
- You may close your account at any time. Credits already bought are treated under section 3.
- We may suspend an account immediately where it is being used unlawfully, where it threatens the platform or other customers, or where payment has not been made.
- Except where the law or safety requires otherwise, we will tell you why and give you a chance to put it right.
- We may withdraw the service on 30 days’ notice, refunding any unused credits.
9. Your data when you leave
Ask us for a copy of anything you want to keep before you close your account — transcripts, recordings and bookings — and we will provide it. Recordings are deleted 30 days after the call regardless of when you leave. Everything else is retained and deleted as set out in the Privacy Policy.
10. Who owns what
We own the platform: the software, the interfaces and everything we have built. You get the right to use it while your subscription runs, and nothing more.
You own your content: your business information, your agent configuration, your call records and your bookings. You give us permission to store and process them so that we can run the service for you, and for nothing else. We do not use the content of your calls to train artificial-intelligence models.
If you send us suggestions, we may act on them without owing you anything for them.
11. Liability
Neither of us is liable to the other for indirect or consequential loss, or for lost profits, lost business, lost goodwill or lost data, however caused.
Our total liability to you, for everything arising out of this agreement taken together, is limited to the amount you paid us in the three months before the event that caused the claim.
Nothing in these terms excludes liability for fraud, for death or personal injury caused by negligence, or for anything else that cannot lawfully be excluded.
12. Indemnity
You will cover us against claims brought by third parties — including your own callers — that arise from how you used the service: what you configured your agent to say, the calls you made or received, the bookings you took, and your handling of your callers’ data.
13. Changes to these terms
We may change these terms. The date at the top changes when we do, and material changes are emailed to account holders at least 14 days before they take effect. Continuing to use the service after that means you accept them. If you do not, close your account and we will refund any unused credits.
14. General
- These terms, with the Privacy Policy, are the whole agreement between us.
- If a clause is unenforceable, the rest still stands.
- Not enforcing something once does not waive it.
- You may not transfer this agreement without our written consent. We may transfer it to a successor of our business.
- Nothing here makes either of us the other’s partner, agent or employee.
15. Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute arising from them.
Before going to court, contact us. Most disputes are a misunderstanding about credits or a call, and are settled in a day by someone reading the record.

Schedule 1: Businesses in India
- Prices are in Indian rupees.
- Prices are exclusive of GST. GST at the applicable rate, currently 18%, is added to your order and shown before you place it.
- Payment is by bank transfer. Your order is confirmed and your credits applied when the transfer reaches us. Quote the reference shown on your order so we can match it.
- Refunds: unused credits on a current order may be refunded on request, less any amount already consumed. Write to us and we will settle it to the account the payment came from.
Schedule 2: Businesses outside India, including the United States
- Prices are in the currency shown for your country, such as US dollars in the United States.
- Prices exclude any sales tax, VAT or similar tax. Where we are required to charge one, it is added to your order and shown before you place it.
- Payment is by the method offered at checkout for your country. Where ordering is not yet open in your country, the pricing page says so.
- Refunds: orders are non-refundable, and the checkout asks you to confirm that you understand this before you can place one. The exact wording you agreed to is recorded on your order.
- Calls to numbers outside India are carried by LiveKit Cloud, as described in our Privacy Policy.
Nothing in either schedule limits any right to a refund that the law gives you and that cannot be signed away.
